MINUTES



A) CALL TO ORDER

The meeting was called to order at 5:17 p.m. by Chairman High Mason.

Present: Dan Barron, Mayor Gabe Campbell, John Kurtz, Hugh Mason and Jeff Porter
Absent: Fred DiMartino, Mary Feindt, John Taylor and Jeannine Wallace

B) APPROVAL OF AGENDA

The agenda was approved as presented.

C) INQUIRY INTO POTENTIAL CONFLICTS OF INTEREST

None.

D) APPROVAL OF MINUTES

1. December 16, 2002 Special Meeting Minutes - 5:00 p.m

Motion made by John Kurtz and seconded by Dan Barron to approve the minutes of December 16th and January 6th as written. Motion adopted unanimously.

E) PUBLIC INPUT, NOT RELATED TO OTHER AGENDA ITEMS

F) NEW BUSINESS

1. Charlevoix Marina and Landside/east Park Development Professional Service Contracts United Design and Pollack Design

City Manager Mike Wiesner reviewed the proposed professional contracts with the Board. A new page 4 of Pollack Design's contract was submitted. The change was to reflect at if the project's construction budget was over $1,000,000 the contract fee will be negotiated. The City Attorney has reviewed the proposed contracts and recommends that the contracts be approved contingent upon verification of insurance amounts, clarification of language in United Design's contract on liability issues for United Design and their subcontractors. The DDA is being asked to fund 50% the United Design contract totaling $48,856 for the preliminary study and 50% of the Pollack Design contract totaling $50,000 for the preliminary study. The cost of preparation of construction documents and construction inspection are not included in the above mentioned costs. It is anticipated that the State Waterways Commission will pay for the other 50% of the design costs. Both contracts set the fees to be paid for construction of the project, if the firms are retained to accomplish the work. The fees are set by the construction costs. The State Waterways Commission has drafted most of the language in the contracts.

Motion made by John Kurtz and seconded by Dan Barron to approve United Design Associates and Pollack Design Associates professional services agreements subject to
verification of required insurance amounts, clarification of language in United Design's contract on liability issues for United Design and their subcontractors and the consideration to use local contractors for the project design. Motion adopted unanimously.

2. Hospitality Advisors' Proposed Conference/meeting Room Facility Study

City Manager Mike Wiesner reviewed the proposed contract with the Board. The cost of the proposed study is $13,000, with the DDA paying 50% of the costs and the Chamber's Convention and Visitors Bureau paying the other 50%. The goal of the study is to focus on the non-Summer months and the whether there is a need for the facility..

Motion made by Dan Barron and seconded by John Kurtz to approve the proposed contract for Hospitality Advisors at a cost of $13,000 and that the DDA fund 50% of study. Approval is contingent upon receipt of matching funds from Chamber's Convention and Visitors Bureau. Motion was adopted unanimously.
