SPECIAL JOINT CITY COUNCIL -- DDA -- LIBRARY BOARD MEETING MINUTES

Monday, May 12, 2003 -- 5:00 p.m.

The meeting was called to order by Mayor Pro Tem Norman Carlson Jr. at 5:15 p.m. at the above mentioned date, in the absence of Mayor Gabe Campbell.

Invocation (Pledge of Allegiance)

Roll Call of Members Present

Councilmembers:

Present: Sherman Chamberlain, Shirley Gibson, Bill Bellows and Karen Campbell

Absent: Bill Haggard

Downtown Development Authority:

Present: Fred DiMartino, Dan Barron, John Taylor, John Kurtz, Jeff Porter, John Yaroch and Hugh Mason

Absent: Jeannine Wallace

Charlevoix Public Library Board Members:

Present: Rick Brandi, Mary Ann Chew, Anne Hansen, Betty Henne, Cynthia Postmus, Joe Seidel and Lorraine Way

Absent: None

Inquiry Regarding Possible Conflicts of Interest:

Rick Brandi announced he would abstain from voting because he is City Treasurer, DDA Treasurer and President of the Library Board.

General Business

Property Acquisition

Assistant City Attorney Bryan Graham reminded the Boards of the requirements of the Open Meetings Act and the option given under the Act to go into closed session to discuss property acquisition.

Closed Session

Motion made by Councilman Chamberlain and seconded by Councilman Bellows for the Council to go into closed session to discuss property acquisition.

Motion adopted by the following yea and nay vote:

Yeas: Councilmembers Chamberlain, Gibson, Bellows and Campbell

Nays: None

Absent: Councilman Haggard

Motion made by DDA member Porter and supported by DDA member Kurtz for the DDA to go into closed session to discuss property acquisition.

Motion adopted by the following yea and nay vote:

Yeas: DDA members DiMartino, Barron, Taylor, Kurtz, Porter, Yaroch and Mason

Nays: None

Absent: Jeannine Wallace

Motion made by Board member Anne Hansen and supported by Board member Joe Seidel for the Charlevoix Public Library Board of Directors to go into closed session to discuss property acquisition.

Motion adopted by the following yea and nay vote:

Yeas: Board members Hansen, Seidel, Henne, Chew, Postmus and Way

Nays: None

Absent: None

The meeting went into closed session at 5:20 p.m.

Open Session

The meeting was reconvened at 6:05 p.m.

Motion by Councilman Bellows and seconded by Councilwoman Gibson to approve the Purchase Agreement for the Old Middle School at a purchase price of $635,000.00 and authorize the Mayor Pro Tem and City Clerk to sign the documents on behalf of the City of Charlevoix.

Motion adopted by the following yea and nay vote:

Yeas: Councilmembers Chamberlain, Gibson, Bellows and Campbell

Nays: None

Absent: Councilman Haggard

Motion by Councilman Chamberlain and seconded by Councilman Bellows to approve the Option Agreement with the Charlevoix Public Library and authorize the Mayor Pro Tem and City Clerk to sign the documents on behalf of the City of Charlevoix.

Motion adopted by the following yea and nay vote:

Yeas: Councilmembers Chamberlain, Gibson, Bellows and Campbell

Nays: None

Absent: Councilman Haggard

Motion by Board member Mary Ann Chew and supported by Board member Joe Seidel to approve the Option Agreement with the City of Charlevoix and authorize the Vice President and Secretary to sign the documents on behalf of the Charlevoix Library Board of Directors.

Motion adopted by the following yea and nay vote:

Yeas: Board members Hansen, Seidel, Henne, Chew, Postmus and Way

Nays: None

Absent: None

[John Taylor returned to the meeting at 6:10 p.m. after a brief absence]

Motion by DDA member Dan Barron and supported by DDA member John Kurtz to support the City's purchase agreement to buy the Old Middle School.

The motion was generally approved by the DDA.

A committee consisting of Norm Carlson, Jr., Val Meyerson and Hugh Mason was formed to present the Purchase Agreement to the Charlevoix Public School Board.

Adjourn

The City Council, Downtown Development Authority and Charlevoix Public Library Board of Directors generally agreed to adjourn at 6:12 p.m.
